Royal Barista Trading LLC

Location: Warehouse 12, Street 22, Al Quoz Industrial Area 3, Dubai, UAE.
These Terms of Service ("Terms") govern all sales, deliveries, and services provided by Royal Barista Trading LLC ("Company," "we," "us," "our") to any individual, business, or entity ("Client," "you," "your") purchasing goods or services from us.
By placing an order, accepting a quotation, or receiving goods from Royal Barista Trading LLC, you acknowledge that you have read, understood, and agreed to be bound by these Terms. These Terms constitute a legally binding agreement between you and the Company.
These Terms supersede any conflicting terms, conditions, or clauses presented on the Client's purchase orders, invoices, or other documents unless explicitly agreed in writing by a duly authorized representative of the Company.

| "Order" | A written or electronic request by the Client to purchase Goods or Services. |
| "Invoice" | The official commercial document issued by the Company detailing the Goods, Services, pricing, and payment terms. |
| "Delivery" | The transfer of physical possession of Goods to the Client or the Client's designated carrier. |
| "Working Days" | Monday through Friday, excluding public holidays observed in the UAE. |
All quotations provided by the Company are:
Valid for 7 calendar days from the date of issue, unless otherwise stated.
Subject to availability of stock and raw materials.
Non-binding until confirmed by the Company in writing.
An Order is deemed accepted only when the Company issues a formal Order Confirmation or Invoice. The Company reserves the right to reject any Order at its sole discretion without providing a reason.
Minimum order quantities ("MOQ") may apply to specific products, particularly specialty coffee and custom roasts. These will be clearly communicated at the time of quotation.
All prices are quoted in United Arab Emirates Dirhams (AED) unless otherwise specified.
Prices are exclusive of Value Added Tax (VAT) and any other applicable government levies, which shall be added to the Invoice at the prevailing rate.
The Company reserves the right to adjust pricing due to fluctuations in global coffee commodity markets, freight costs, or currency exchange rates. Any price changes will be communicated to the Client prior to Order confirmation.
Standard Terms: Payment is due within 30 days from the date of Invoice, unless alternative terms are explicitly agreed in writing.
New Clients / First Orders: Payment may be required in full in advance or via Cash on Delivery (COD) at the Company's discretion.
Large Orders / Equipment: A 50% non-refundable deposit may be required upfront, with the balance due prior to delivery or installation.
Overdue amounts shall accrue interest at the rate of 2% per month (or the maximum permitted by UAE law) until fully settled.
The Company reserves the right to suspend further deliveries or services until all outstanding amounts are cleared.
The Client shall bear all costs incurred by the Company in recovering overdue payments, including legal fees and collection agency charges.
We accept:
Bank Transfers (Wire Transfers) – preferred.
Cheques (subject to clearance).
Credit / Debit Cards (subject to prior arrangement and applicable merchant fees).
Cash (in-person at our Al Quoz facility, subject to security protocols).
Delivery is conducted either by the Company's own vehicles or through third-party courier partners.
Delivery timelines provided are estimates only and are not guaranteed. The Company shall not be liable for any delays caused by circumstances beyond its reasonable control.
Risk of loss or damage to the Goods passes to the Client upon Delivery, regardless of whether title has passed.
The Client is responsible for inspecting Goods immediately upon receipt.
Delivery is free for orders above a specified threshold (to be communicated at the time of Order).
For orders below the threshold, a delivery fee will be applied.
Expedited or same-day delivery may be available at an additional cost.
If the Client fails to accept Delivery or provides incorrect delivery information, the Goods will be returned to our Al Quoz warehouse.
The Client shall bear all associated costs (return freight, restocking, re-delivery). Storage fees may also apply.
Title (legal ownership) of the Goods shall remain with the Company until full payment has been received and cleared in our bank account. Until title passes:
The Client holds the Goods as a fiduciary custodian.
The Client must store the Goods separately and clearly identifiable as belonging to the Company.
The Company may enter the Client's premises to repossess the Goods in the event of non-payment.
The Client must inspect all Goods immediately upon Delivery. Any visible defects, damages, or shortages must be reported to the Company within 24 hours of Delivery.
Failure to report any issues within the 24-hour window constitutes unconditional acceptance of the Goods, and the Client waives the right to dispute quality, quantity, or condition thereafter.
For machinery and equipment, the Client must ensure that the installation environment (electrical, plumbing, ventilation) complies with manufacturer specifications. The Company is not liable for damage caused by improper installation or unsuitable operating conditions.
The Company warrants that coffee products are as described and free from defects at the time of Delivery.
Due to the perishable nature of coffee, the Company does not warrant that the product will maintain its optimal flavor profile beyond the recommended consumption window (typically 30–45 days from the roast date).
The Company is not liable for flavor degradation caused by improper storage, handling, or brewing methods by the Client.
Equipment is covered by the manufacturer's warranty (as specified in the product documentation).
The Company acts as a facilitator for warranty claims but is not the warrantor.
The warranty does not cover:
Normal wear and tear.
Damage caused by misuse, neglect, or unauthorized repairs.
Damage caused by power surges, water damage, or improper maintenance.
To the fullest extent permitted by UAE law, the Company disclaims all implied warranties, including merchantability and fitness for a particular purpose, except as expressly provided herein.
Maximum Liability: The Company's total aggregate liability arising out of or related to these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total invoice value of the specific Order giving rise to the claim.
Consequential Damages: The Company shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, goodwill, business interruption, or loss of data.
Third-Party Services: The Company is not liable for the acts or omissions of third-party delivery partners, payment processors, or manufacturers.
The Client agrees to indemnify, defend, and hold harmless Royal Barista Trading LLC, its employees, directors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:
The Client's breach of these Terms.
Improper use, storage, or handling of Goods by the Client.
Any claims made by third parties arising from the Client's use of the Goods.
Orders may be cancelled by the Client within 24 hours of Order confirmation without penalty.
Cancellations after 24 hours will incur a 25% cancellation fee to cover restocking and administrative costs.
Custom orders (e.g., private label, custom roasts, specialty micro-lots) are non-cancellable and non-refundable once production has commenced.
The Company reserves the right to terminate or suspend service to any Client immediately if:
Payment is overdue by more than 15 days.
The Client violates any provision of these Terms.
The Company, in its sole discretion, determines that continued business relationship poses a risk.
The Company shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to:
Acts of God (fire, flood, earthquake, extreme weather).
War, terrorism, civil unrest, or sanctions.
Labor strikes or disputes.
Port closures, freight delays, or supply chain disruptions.
Government actions, import/export restrictions, or changes in law.
In the event of Force Majeure, the Company may suspend performance, extend delivery timelines, or cancel the Order without liability.
The trade names, logos, branding, and packaging designs of Royal Barista Trading LLC are the exclusive intellectual property of the Company. The Client may not use, reproduce, or imitate them without express written consent.
The Client retains ownership of its own branding if custom packaging is produced by the Company. However, the Company reserves the right to use images of custom products for portfolio and marketing purposes unless explicitly prohibited in writing.
The Client agrees to keep confidential any proprietary information disclosed by the Company, including but not limited to pricing structures, sourcing information, roasting techniques, and business strategies. This obligation survives the termination of the business relationship.
These Terms are governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC) and the applicable laws of the United Arab Emirates.
Amicable Settlement: The parties shall first attempt to resolve any dispute amicably through direct negotiations within 15 working days.
Mediation: If amicable resolution fails, the parties shall submit the dispute to mediation at the Dubai Courts' Mediation Centre or an agreed private mediator.
Litigation: If mediation fails, the dispute shall be referred to the exclusive jurisdiction of the courts of Dubai, UAE.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a provision that most closely reflects the original intent.
Failure by the Company to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision.
These Terms, together with any applicable Invoices, Order Confirmations, and the Return and Refund Policy, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements, whether written or oral.
The Company reserves the right to update or modify these Terms at any time. The latest version will be effective upon posting or upon notification to the Client. Continued business dealings after such changes constitute acceptance of the revised Terms.
